1. Introduction and Acceptance
These Terms of Service (“Terms”) govern access to and use of TP-CAMP OneSuite and the applications, modules, websites, tools, integrations and services made available as part of the TP-CAMP OneSuite ecosystem (collectively, the “Services”).
The Services are provided by TP-CAMP (“TP-CAMP,” “we,” “us,” or “our”).
By creating an account, accepting an invitation to a workspace, purchasing access, accessing a trial, or otherwise using the Services, you agree to these Terms.
If you use the Services on behalf of a company, label, publisher, management company, artist, organization or other entity, you represent that you have authority to accept these Terms on its behalf.
If you do not agree to these Terms, you should not use the Services.
2. The OneSuite Ecosystem
These Terms apply across the TP-CAMP OneSuite ecosystem.
Depending on the plan, entitlement and functionality available to a user, the Services may include applications or modules relating to:
- music catalogue management;
- musical works and composition data;
- sound recordings and releases;
- rights administration;
- ownership and split management;
- split sheets;
- CWR and other music-industry data formats;
- rights-registration preparation and workflows;
- operations and project management;
- release management;
- campaigns;
- invoicing and quotations;
- financial management;
- royalty and revenue information;
- contracts and documents;
- artificial-intelligence-assisted functionality;
- reporting;
- team and workspace management; and
- other music-business tools introduced by TP-CAMP.
Connected applications may operate on different domains, subdomains, databases or technical environments while remaining part of the OneSuite ecosystem.
These Terms apply to those connected Services unless TP-CAMP expressly provides separate terms for a particular service.
3. Eligibility and Business Use
OneSuite is primarily designed for professional and business use within the music, entertainment and creative industries.
You must be legally capable of entering into the agreements applicable to your use of the Services.
Individuals under 18 should not independently create or administer a business account unless legally permitted and appropriately authorized by a parent, guardian or other person with lawful authority.
Organizations are responsible for ensuring that individuals using OneSuite on their behalf are appropriately authorized.
4. Accounts
You may be required to create or receive access to a OneSuite account.
You agree to provide information that is reasonably accurate and current and to update relevant account information when necessary.
You are responsible for:
- safeguarding your login credentials;
- maintaining control over authorized access to your account;
- using reasonable security practices;
- promptly notifying TP-CAMP of suspected unauthorized access; and
- activity performed through your account where that activity results from your actions or failure to reasonably protect your credentials.
You must not knowingly share credentials in a manner intended to bypass applicable seat, account or access restrictions.
5. Workspaces and Organizations
OneSuite may organize customer information within workspaces associated with a company, label, publisher, management company, artist, organization or other account holder.
A workspace may contain multiple users with different roles and permissions.
The workspace owner or appropriately authorized administrators may be able to:
- invite users;
- assign roles;
- grant application access;
- modify permissions;
- suspend access;
- reactivate users;
- remove users; and
- manage other workspace settings.
TP-CAMP may rely on instructions from the workspace owner or appropriately authorized administrators regarding workspace access unless TP-CAMP has reason to believe that an instruction is unauthorized or unlawful.
6. Team Members and Permissions
Users may receive different levels of access to individual OneSuite applications and functionality.
Access may include permissions such as viewing, editing, managing or having no access to a particular application or feature.
Users must not attempt to bypass permissions, access another workspace without authorization, escalate their privileges, or obtain information they are not authorized to access.
Organizations are responsible for appropriately managing the permissions granted to their team members.
7. Central Authentication and Connected Applications
OneSuite may operate as the central identity, authentication and entitlement authority for connected applications.
When an authorized user enters a connected OneSuite application, OneSuite may verify the user's identity, workspace, entitlement and access level.
Connected applications may maintain separate application databases while associating records with the user's OneSuite identity and workspace.
Users must not interfere with, manipulate, forge or attempt to bypass OneSuite authentication, entitlement or authorization mechanisms.
8. Plans and Access Periods
OneSuite may offer different plans, access levels, application combinations, seats, add-ons and service periods.
Unless expressly stated otherwise at purchase, paid OneSuite access is provided for a fixed access period.
Available periods may include monthly, annual or other periods offered by TP-CAMP.
The applicable checkout, invoice, quotation, order confirmation or account record may identify the:
- plan;
- price;
- currency;
- access period;
- included applications;
- seat allocation;
- add-ons; and
- other applicable purchase conditions.
Features and limits may differ between plans.
9. No Automatic Renewal Unless Expressly Agreed
Under the standard OneSuite purchasing model, paid access does not automatically renew.
At the end of a fixed access period, customers generally choose whether to purchase another period.
TP-CAMP will not automatically charge a customer for another standard access period unless the customer has expressly agreed to an automatic-renewal arrangement.
TP-CAMP may send renewal or expiry reminders, but those reminders do not obligate the customer to renew.
10. Early Renewal
OneSuite may allow customers to renew before their existing access period expires.
Where the applicable renewal process provides for unused paid access time to carry forward, eligible remaining time may be added to the newly purchased access period.
The resulting expiry date displayed in the customer's account will govern, subject to correction of technical or administrative errors.
11. Trials, Demonstrations and Complimentary Access
TP-CAMP may provide trials, demonstrations, promotional access, complimentary accounts or manually granted entitlements.
Such access may be limited by:
- duration;
- applications;
- features;
- seats;
- usage;
- storage;
- records; or
- other conditions.
Unless expressly stated otherwise, trial or complimentary access does not automatically convert into paid access and does not authorize TP-CAMP to charge the user when the trial ends.
TP-CAMP may modify or discontinue complimentary or trial access according to the applicable offer.
12. Payments
Customers agree to pay the prices and applicable charges presented or agreed when purchasing OneSuite or related services.
Payments may be processed through third-party payment providers.
TP-CAMP may receive payment confirmation, transaction identifiers, amounts, currency and other information necessary to administer purchases.
A payment authorization does not necessarily mean that TP-CAMP has successfully received payment.
Where a payment fails, is reversed, rejected or remains incomplete, TP-CAMP may withhold or restrict the associated access until valid payment is confirmed.
13. Taxes and Other Charges
Unless expressly stated otherwise, customers are responsible for taxes, duties, levies, bank charges, currency-conversion costs or other charges legally applicable to their purchase.
Where TP-CAMP is required to collect or remit a tax or similar charge, the amount may be added to the applicable transaction or invoice.
14. Refunds
Refund eligibility is governed by the separate TP-CAMP OneSuite Refund Policy.
Purchasing OneSuite and later deciding not to use the Services does not automatically create a right to a refund.
Nothing in these Terms limits refund rights that cannot lawfully be excluded.
15. Cancellation, Non-Renewal and Expiry
Cancellation, non-renewal, account closure and expiry are governed by the separate TP-CAMP OneSuite Cancellation Policy.
Under the standard fixed-access model, customers generally do not need to cancel a recurring subscription to prevent another charge.
A customer may simply choose not to purchase another access period.
When access expires, certain functionality may become restricted, unavailable or read-only where supported.
Expiry does not necessarily result in immediate deletion of the customer's underlying records.
16. Customer Data and Content
Users may enter, upload, create, generate, import or store information through OneSuite (“Customer Data”).
Customer Data may include:
- music catalogue information;
- rights information;
- contributor information;
- ownership percentages;
- split information;
- recordings;
- releases;
- lyrics;
- documents;
- contracts;
- invoices;
- financial information;
- customer and supplier information;
- project information;
- campaign information;
- uploaded files;
- notes; and
- other business records.
As between TP-CAMP and the customer, customers retain their rights in Customer Data, subject to rights belonging to other persons.
These Terms do not transfer ownership of a customer's underlying music copyrights, master recordings, publishing rights, contracts or other intellectual property to TP-CAMP.
17. Permission to Process Customer Data
You grant TP-CAMP the limited rights necessary to host, store, reproduce, process, transmit, synchronize, display, back up and otherwise handle Customer Data for the purpose of:
- providing the Services;
- operating requested functionality;
- maintaining security;
- supporting integrations;
- generating requested outputs;
- providing support;
- maintaining backups;
- preventing abuse; and
- complying with applicable legal obligations.
This permission does not grant TP-CAMP ownership of Customer Data.
18. Information About Other People
OneSuite may allow users to enter information concerning artists, songwriters, composers, performers, producers, publishers, labels, managers, employees, contractors, customers, suppliers and other persons.
You represent that you have an appropriate lawful basis, permission, contractual right, authorization or other legitimate authority to provide and process information concerning other people through the Services.
The availability of a field within OneSuite does not establish that you have legal authority to enter the information.
19. Music Rights and Ownership Information
OneSuite may allow users to record and manage information concerning musical works, sound recordings, ownership, splits, contributors and rights holders.
Users are responsible for the accuracy and authority of information they enter.
TP-CAMP does not independently determine legal ownership of a copyright merely because information has been entered into OneSuite.
A percentage, ownership record, split, contributor designation or other entry within OneSuite does not by itself establish legal ownership or resolve a dispute between rights holders.
Users should resolve ownership disputes through appropriate agreements, rights organizations, professional advisers, dispute-resolution procedures or legal processes.
20. Splits and Split Sheets
OneSuite may assist users in recording composition, publishing, master, performer, producer or other ownership information and generating split-related records or documents.
Users remain responsible for:
- confirming contributor identities;
- confirming percentages;
- ensuring totals are correct;
- obtaining necessary approvals;
- determining whether signatures are required;
- maintaining appropriate supporting agreements; and
- reviewing documents before relying upon them.
TP-CAMP does not become a party to a split arrangement merely because OneSuite stores or generates the applicable information.
21. Cross-Application Synchronization
OneSuite applications may exchange authorized information to maintain consistency across the ecosystem.
For example, catalogue records may be transmitted to a split-management application, and validated ownership information may be reflected back into catalogue records.
Other OneSuite applications may exchange operational, invoice or financial information where integrated functionality requires it.
Users authorize such internal processing where necessary to provide the connected functionality available to their workspace.
22. Music Registrations, CWR and External Organizations
OneSuite may provide functionality that assists users in preparing, validating, exporting or transmitting information for music-industry registrations or administration.
This may include CWR data, repertoire information, rights-holder information, ownership information or other registration data.
OneSuite may also support workflows involving collective management organizations, performing-rights organizations, neighbouring-rights organizations, publishers, administrators, distributors or other external services.
Unless TP-CAMP expressly agrees otherwise:
- users remain responsible for reviewing information before submission;
- users are responsible for ensuring they have authority to submit the information;
- TP-CAMP does not guarantee that an external organization will accept a registration;
- TP-CAMP does not guarantee that an external organization will recognize a claimed ownership interest;
- TP-CAMP does not control third-party processing times; and
- TP-CAMP is not responsible for independent decisions made by external organizations.
A successful technical submission does not necessarily mean that an external organization has legally accepted or validated the underlying claim.
23. Contracts, Documents and Electronic Signatures
OneSuite may provide tools for creating, storing, managing or executing contracts, split sheets and other documents.
Where electronic-signature or acceptance functionality is available, users are responsible for determining whether the selected method is legally appropriate for their particular transaction.
Users are also responsible for ensuring that signatories have appropriate authority.
TP-CAMP provides technology for facilitating document workflows but does not become a party to a contract solely because the contract is created, stored or signed through OneSuite.
24. Generated Documents Are Not Legal Advice
Templates, clauses, agreements, split sheets, notices and other documents generated or assisted by OneSuite are provided as operational tools.
Unless TP-CAMP has separately agreed in writing to provide qualified professional services, OneSuite does not provide legal advice.
Users should review important agreements and obtain advice from an appropriately qualified legal professional where necessary.
TP-CAMP does not guarantee that a generated document is suitable for every jurisdiction, transaction or factual situation.
25. Invoice and Finance Tools
OneSuite may provide tools for invoices, quotations, receipts, expenses, budgets, forecasts, royalty calculations, revenue estimates, financial reporting and other business-finance activities.
Customers are responsible for reviewing financial information and ensuring that records used for accounting, taxation, payments or commercial decisions are accurate and appropriate.
OneSuite is not a substitute for professional accounting, tax, investment or financial advice.
Unless expressly agreed otherwise, TP-CAMP does not act as the customer's accountant, auditor, tax adviser, financial adviser, fiduciary or financial institution merely by providing these tools.
26. Calculators, Forecasts and Estimates
OneSuite may generate estimates, projections or calculations based on information supplied by users, third-party data, assumptions or configurable rates.
Actual results may differ materially.
Streaming revenue estimates, royalty estimates, performance estimates, mechanical estimates, budgets, forecasts and similar calculations should not be treated as guaranteed earnings or guaranteed financial outcomes.
Users are responsible for reviewing assumptions before relying on calculated results.
27. Artificial Intelligence Features
Certain OneSuite applications may provide artificial-intelligence-assisted functionality.
AI features may assist with tasks such as:
- drafting;
- summarization;
- analysis;
- organization;
- financial interpretation;
- workflow assistance;
- rights-data review;
- research assistance; and
- other supported tasks.
AI-generated output may be inaccurate, incomplete or unsuitable for a particular purpose.
Users are responsible for reviewing AI-generated output before relying upon it.
Users should not treat AI output as a substitute for qualified legal, accounting, tax, financial or other professional advice.
28. Third-Party Services and Integrations
OneSuite may connect to or rely upon third-party services for functions such as:
- payments;
- hosting;
- databases;
- authentication;
- communications;
- customer relationship management;
- artificial intelligence;
- analytics;
- email;
- music-industry services; and
- other infrastructure.
Third-party services may operate under their own terms and privacy policies.
TP-CAMP is not responsible for independent third-party services outside TP-CAMP's reasonable control.
TP-CAMP may replace, modify or discontinue an integration where reasonably necessary.
29. Professional and Administrative Services
TP-CAMP may separately provide onboarding, implementation, consulting, catalogue administration, rights administration, professional support, data preparation or other services.
Such services may be subject to:
- quotations;
- invoices;
- statements of work;
- engagement agreements;
- service-specific terms; or
- other written arrangements.
Where those terms conflict with these Terms regarding the specific professional service, the more specific written agreement will govern that service.
Purchasing OneSuite software does not automatically include professional administration services unless expressly stated.
30. Acceptable Use
You agree not to use the Services to:
- violate applicable law;
- infringe another person's intellectual property or privacy rights;
- upload information you are not authorized to process;
- impersonate another person;
- commit fraud;
- facilitate unlawful activity;
- distribute malicious software;
- interfere with the security or operation of the Services;
- attempt unauthorized access;
- circumvent access controls;
- reverse engineer protected portions of the Services except where applicable law expressly permits it;
- scrape or extract information through unauthorized automated means;
- use another customer's workspace without authorization;
- manipulate payment or entitlement systems;
- forge authentication or integration information; or
- use the Services in a manner reasonably likely to damage TP-CAMP, its users, providers or infrastructure.
31. User Responsibility for Uploaded Material
You are responsible for material you upload or process through OneSuite.
You must have the necessary rights or authorization to use that material.
TP-CAMP does not obtain ownership of uploaded music, lyrics, artwork, contracts or business records merely because they are stored within the Services.
32. TP-CAMP Intellectual Property
OneSuite, including its software, interfaces, branding, designs, workflows, documentation, original templates, platform architecture and other proprietary material, is owned by or licensed to TP-CAMP.
Except for the limited right to use the Services under these Terms, no ownership interest in OneSuite is transferred to users.
You may not copy, sell, sublicense, redistribute or commercially exploit TP-CAMP's proprietary software or materials except as expressly permitted.
33. Feedback
If you voluntarily provide suggestions, ideas or feedback concerning OneSuite, TP-CAMP may use that feedback to improve or develop the Services without an obligation to compensate you, provided that doing so does not transfer ownership of your underlying Customer Data to TP-CAMP.
34. Beta and Developing Software
OneSuite is an evolving software platform.
Certain applications or features may be identified as beta, preview, experimental, early access or under active development.
Such functionality may:
- change;
- contain errors;
- experience interruptions;
- be redesigned;
- have limited support; or
- be discontinued.
Users should maintain appropriate independent records and backups of important business information.
35. Service Availability
TP-CAMP seeks to maintain reliable Services but does not guarantee uninterrupted or error-free operation.
Services may be temporarily unavailable because of:
- maintenance;
- updates;
- technical failures;
- security incidents;
- internet or telecommunications failures;
- third-party provider outages;
- force majeure events; or
- circumstances outside TP-CAMP's reasonable control.
Where reasonably possible, TP-CAMP may attempt to restore affected Services promptly.
36. Backups and Business Continuity
TP-CAMP may maintain technical backups as part of operating the Services.
However, users should maintain independent copies of information that is critical to their business, rights ownership, financial records, contracts or legal obligations.
The existence of TP-CAMP backups does not make OneSuite the customer's sole archival or record-preservation system.
37. Privacy
TP-CAMP's processing of personal information is addressed in the TP-CAMP OneSuite Privacy Policy.
By using the Services, users acknowledge that information may be processed as necessary to operate OneSuite in accordance with that Policy and applicable law.
38. Security
TP-CAMP seeks to maintain reasonable administrative, organizational and technical safeguards.
Users are also responsible for maintaining reasonable security over their accounts, credentials, devices and team permissions.
No online service can guarantee absolute security.
Users should promptly report suspected unauthorized access or security incidents affecting their OneSuite account.
39. Suspension
TP-CAMP may restrict or suspend access where reasonably necessary because of:
- suspected fraud;
- unauthorized activity;
- security threats;
- misuse;
- non-payment;
- material breach of these Terms;
- unlawful conduct;
- legal requirements; or
- material risk to TP-CAMP, its users or infrastructure.
Where reasonably appropriate, TP-CAMP may provide notice or an opportunity to remedy the issue.
Immediate action may be taken where necessary to protect security, users or the Services.
40. Termination
A customer may discontinue use of OneSuite according to the Cancellation Policy.
TP-CAMP may terminate access for a material breach of these Terms, unlawful use, fraud, serious security risk or other grounds permitted by applicable law or agreement.
Termination does not automatically eliminate obligations or liabilities that arose before termination.
41. Effect of Expiry or Termination
After expiry or termination:
- access may be restricted;
- paid functionality may become unavailable;
- some applications may become read-only where supported;
- users may lose the ability to create or modify records; and
- TP-CAMP may retain certain information according to its Privacy Policy, legal obligations and legitimate business requirements.
Customers should export important records before closure or expiry where applicable functionality is available.
42. Disclaimers
To the extent permitted by applicable law, the Services are provided on an “as available” basis.
TP-CAMP does not warrant that:
- every feature will always be available;
- the Services will be uninterrupted or error-free;
- all user-entered information will be accurate;
- third parties will accept information generated through OneSuite;
- rights registrations will be approved;
- royalty or revenue estimates will match actual results;
- AI-generated information will always be accurate; or
- the Services will satisfy every user's particular business requirement.
Nothing in these Terms excludes warranties or protections that cannot lawfully be excluded.
43. No Professional Advice Unless Separately Engaged
Software functionality, AI output, templates, calculations, educational information and generated materials within OneSuite do not constitute legal, accounting, tax, investment or other regulated professional advice.
Where TP-CAMP has separately entered into a professional-services engagement with a customer, the scope of that engagement will be governed by the applicable written agreement.
44. Limitation of Liability
To the maximum extent permitted by applicable law, TP-CAMP will not be liable for indirect, incidental, special, consequential or purely economic losses arising from use of or inability to use the Services where such liability may lawfully be limited.
This may include loss arising from:
- inaccurate information entered by a user;
- unauthorized instructions provided through a customer's account;
- third-party service failures;
- rejection of a rights registration by an external organization;
- rights or ownership disputes between users or third parties;
- reliance on AI-generated information;
- reliance on estimates or forecasts;
- loss caused by failure to maintain independent records; or
- circumstances outside TP-CAMP's reasonable control.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.
45. Customer Responsibility and Indemnification
To the extent permitted by applicable law, a customer may be responsible for claims, losses or costs arising from:
- Customer Data the customer was not authorized to provide;
- infringement caused by material uploaded by the customer;
- false or unauthorized rights claims;
- unlawful use of the Services;
- material violation of these Terms; or
- misuse of another person's personal information.
Any indemnification obligation will be subject to applicable law and the circumstances of the claim.
46. Third-Party Disputes
TP-CAMP is not responsible for resolving private disputes between:
- songwriters;
- composers;
- performers;
- producers;
- publishers;
- labels;
- managers;
- investors;
- customers;
- suppliers; or
- other rights holders or business parties.
TP-CAMP may preserve relevant platform records where reasonably necessary but does not become an arbitrator of a private ownership or contractual dispute merely because relevant information exists within OneSuite.
47. Changes to the Services
TP-CAMP may update, modify, replace or discontinue features, applications or integrations as OneSuite develops.
TP-CAMP will seek to avoid unnecessarily disrupting paid core functionality.
Where a material paid Service is permanently discontinued during an active paid period without a reasonably comparable replacement, applicable remedies may be considered under the Refund Policy and applicable law.
48. Changes to These Terms
TP-CAMP may update these Terms to reflect changes in:
- OneSuite functionality;
- business practices;
- payment arrangements;
- integrations;
- security requirements;
- legal obligations; or
- other legitimate operational requirements.
The current version will display its effective or last-updated date.
Where appropriate, material changes may be communicated through the OneSuite website, account interface, email or another reasonable method.
Continued use after revised Terms become effective may constitute acceptance where permitted by applicable law.
49. Governing Law
These Terms are governed by the laws applicable in the Republic of Trinidad and Tobago, without excluding any mandatory rights or protections that may apply to a customer under another applicable jurisdiction.
50. Disputes
Customers are encouraged to contact TP-CAMP first regarding a dispute so that the parties can attempt to resolve the matter in good faith.
Where a dispute cannot be resolved informally, it may be handled through the courts or another legally recognized dispute-resolution process having appropriate jurisdiction, subject to applicable law and any more specific written agreement between TP-CAMP and the customer.
51. Electronic Communications
Users agree that TP-CAMP may provide service-related notices electronically through:
- email;
- OneSuite account notifications;
- application messages;
- website notices; or
- another reasonable electronic method.
Users are responsible for maintaining an appropriate contact email for their account.
52. Assignment
Customers may not transfer their contractual rights to another person or organization in a manner that circumvents account, workspace, plan or access restrictions without TP-CAMP's consent where such consent is reasonably required.
TP-CAMP may assign or transfer its rights and obligations in connection with a legitimate restructuring, financing, merger, acquisition or transfer of the relevant business, subject to applicable law.
53. Severability
If a provision of these Terms is found to be unlawful or unenforceable, that provision will be interpreted or limited to the extent reasonably necessary, and the remaining provisions will continue to apply where legally permitted.
54. No Waiver
Failure by TP-CAMP to enforce a provision of these Terms on one occasion does not automatically waive the right to enforce that provision later.
55. Entire Agreement
These Terms, together with applicable purchase terms, the Privacy Policy, Refund Policy, Cancellation Policy and any specific written agreement governing a purchased professional service, form the applicable agreement concerning use of OneSuite.
Where a separately signed written agreement expressly conflicts with these general Terms regarding a particular service, the more specific written agreement will govern that service to the extent of the conflict.

The current Terms of Service will be made available through the TP-CAMP OneSuite website.
